SJ Line Solutions Ltd ("we", "us", "our", "the Company") is a company registered in England and Wales under company number 17318421, with its registered office at 61 Heydon Way, Horsham, United Kingdom, RH12 3GL. These Terms and Conditions ("Terms") apply to the supply of goods and/or services by us to business customers ("you", "the Client"). They do not apply to consumers. By engaging our services, placing an order, or using our website, you agree to be bound by these Terms.

2. Definitions

  • "Contract" means the agreement between us and the Client for the supply of Goods and/or Services.
  • "Goods" means any physical products supplied by us.
  • "Services" means any services provided by us as described in a quotation, proposal, or order confirmation.
  • "Website" means www.sjls.co.uk.

3. Quotations and Orders

Quotations provided by us are valid for 30 days from the date of issue unless otherwise stated. A Contract is formed when we confirm acceptance of an order in writing (including by email).

We are not currently registered for VAT. Prices quoted therefore do not include VAT. If our VAT status changes, we will notify Clients and adjust invoicing accordingly.

4. Payment Terms

Payment terms are agreed individually with each Client and confirmed in writing (for example, in a quotation, proposal, or invoice) prior to the commencement of work or supply of Goods. Unless a different period is agreed, invoices are payable within 30 days of the invoice date.

We reserve the right to charge statutory interest on overdue payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Delivery and Collection of Goods

Goods are generally made available for collection or supplied on-site as agreed with the Client at the time of order. Spare parts may be posted to the Client; the cost of postage will be agreed in advance and included on the invoice.

6. Cancellations and Refunds

As these Terms apply to business-to-business transactions, statutory consumer cancellation rights do not apply. Requests to cancel an order, or concerns about Goods or Services provided, are considered on a case-by-case basis at our discretion. 7. Intellectual Property

All intellectual property rights in our Goods, Services, website content, designs, and materials are owned by us or our licensors. Nothing in these Terms transfers any intellectual property rights to the Client, except as expressly agreed in writing as part of a specific Contract deliverable.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with a Contract, and not to use it for any purpose other than performing that Contract.

9. Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to the above, our total liability arising out of or in connection with a Contract, whether in contract, tort (including negligence) or otherwise, is limited to the total amount paid by the Client for the Goods and/or Services giving rise to the claim. We are not liable for any indirect, special, or consequential loss, including loss of profits, business, or anticipated savings.

10. Force Majeure

Neither party is liable for any failure or delay in performing its obligations under a Contract where such failure or delay results from circumstances beyond its reasonable control.

11. Termination

Either party may terminate a Contract by written notice if the other party commits a material breach of these Terms that is not remedied within 14 days of being notified in writing, or if the other party becomes insolvent.

12. Website Use

Use of our Website is subject to these Terms. You agree not to use the Website for any unlawful purpose or in any way that could damage, disable, or impair the Website. We do not guarantee that content on the Website is always accurate, complete, or up to date. Our Website may contain links to third-party websites; we are not responsible for the content or practices of those sites.

13. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. We may update these Terms from time to time; the version in force at the date a Contract is formed will apply to that Contract.

14. Governing Law and Jurisdiction

These Terms, and any Contract formed under them, are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms or a Contract are subject to the exclusive jurisdiction of the courts of England and Wales.
